Consulting Project - PMR Consulting - pharma/healthcare

Client's need

One of the leading pharmacies operator and pharmaceuticals distribution company in Poland mandated PMR to execute Due Diligence of a pharmacies chains that was a subject of potential acquisition.

Our deliverables

The project objective was Due Diligence of company’s operational performance, financial performance and potential tax related risks. PMR in a consortium with a financial and tax advisory firm executed the project that was constituted of:

  • Analysis of company operations with particular focus on revenue distribution per location and seasonality, average purchase basket, stock floatation and obsolesce, suppliers’ and clients’ saturation and retention, signs of parallel export
  • EBITDA normalization and sustainability
  • Mystery Shopper exercise focused on client service quality verification, products layout and general feel & touch of the location, sales team up-sell skills
  • Identification of potential red flags in the areas of VAT, CIT, transfer pricing, retrospective commissions, social security payables

     

Value for the client

PMR Client received strong input based on executed Due Diligence:

  • what are the realistic risks involved in the transaction that they should take into account before finalizing acquisition
  • how identified risks should affect the valuation offered to the seller in monetary terms
  • ready solutions on how some of these risks might be mitigated
  • PMR Consultants’ role additionally included coordination of the whole documentation preparation process on the target side, to make sure DD is executed in a precise and timely manner
